PepGenex Terms and Conditions of Sale

These Terms and Conditions of Sale ("Terms") govern all purchases of research compounds and related materials (collectively, "Products") from PepGenex, a California corporation ("PepGenex," "we," "us," or "our") and your use of the PepGenex research storefront.

By accessing the research storefront, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Research Use Only

All Products sold by PepGenex are intended exclusively for legitimate laboratory research, analytical, and scientific purposes.

PRODUCTS SOLD BY PEPGENEX ARE NOT FOR HUMAN OR ANIMAL CONSUMPTION OR USE.

Products are not intended for human or veterinary administration, diagnosis, treatment, mitigation, cure, or prevention of any disease or medical condition and are not offered as drugs, medications, dietary supplements, foods, cosmetics, medical devices, or therapeutic products.

Products may not be injected, ingested, inhaled, applied, administered, or otherwise introduced into the human or animal body.

PepGenex does not provide dosing instructions, administration instructions, treatment protocols, individualized medical advice, prescribing information, or other clinical guidance regarding any Product.

By purchasing from PepGenex, you represent and warrant that:

• You are at least 21 years of age and legally capable of entering into a binding agreement.
• You are acquiring Products solely for legitimate laboratory, analytical, scientific, or research purposes.
• You will not administer, or permit any Product to be administered, to a human or animal.
• You possess the knowledge, facilities, equipment, training, or supervision reasonably necessary to safely handle the Products you purchase.
• You will not resell, repackage, relabel, advertise, or distribute Products for any use inconsistent with these Terms.
• You will comply with all applicable federal, state, and local laws and regulations relating to the purchase, possession, storage, handling, transportation, research use, and disposal of Products.

PepGenex reserves the right to request additional information regarding a purchaser, organization, laboratory, intended research application, or purchaser qualifications before accepting or fulfilling an order.

2. Product Handling and Safety

You acknowledge that research compounds may possess biological, chemical, toxicological, or other properties that are known, unknown, incompletely characterized, or subject to continuing scientific investigation.

You assume responsibility for the safe receipt, possession, handling, storage, transportation, experimentation, and disposal of Products and for implementing appropriate laboratory safety procedures, protective equipment, containment measures, and protocols.

PepGenex is not responsible for injury, loss, contamination, damage, or other consequences resulting from improper storage, handling, transportation, experimentation, disposal, unauthorized use, or use inconsistent with these Terms.

3. Certificates of Analysis and Testing

Certificates of Analysis ("COAs") and other available laboratory testing information may be provided for Products or product lots.

COAs and laboratory results relate only to the particular samples, lots, testing methodologies, specifications, and conditions identified in the applicable report.

Laboratory testing, including identity, purity, sterility, or endotoxin testing where applicable, does not constitute a representation or warranty that a Product is safe, approved, suitable, or appropriate for human or animal use.

Purchasers are responsible for independently determining whether Products and available testing documentation are suitable for their intended lawful research applications.

4. Product Sourcing and Regulatory Status

Products offered through the PepGenex research storefront are manufactured, formulated, or tested by independent laboratories and suppliers, as applicable.

PepGenex is a research product supplier.

PepGenex is not a compounding pharmacy or compounding facility under Section 503A of the Federal Food, Drug, and Cosmetic Act and is not an outsourcing facility under Section 503B.

Unless expressly stated otherwise, Products sold through the research storefront have not been approved by the U.S. Food and Drug Administration for human or veterinary use.

Products are not represented or sold as prescription drugs, over-the-counter medications, compounded medications, dietary supplements, cosmetics, or therapeutic products.

5. Research and Product Information

Product descriptions, specifications, COAs, laboratory results, scientific publications, references, articles, research summaries, mechanism information, and other materials appearing on or through the PepGenex research storefront are provided solely for research and informational purposes.

Such information does not constitute medical advice, prescribing information, dosage recommendations, administration instructions, treatment protocols, or instructions for human or veterinary use.

References to scientific literature, biological pathways, mechanisms, compounds, receptors, biomarkers, or published research do not constitute a representation that a Product is safe, effective, approved, or appropriate for human or animal use.

Purchasers are responsible for independently evaluating Products and information for their lawful research applications.

6. No Disease or Therapeutic Claims

PepGenex does not represent that any Product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition.

PepGenex does not represent that any research Product is equivalent, comparable, interchangeable, or a substitute for any FDA-approved drug, medication, compounded preparation, dietary supplement, or therapeutic product.

Nothing on the research storefront should be interpreted as recommending the use of any Product in humans or animals.

7. No Medical Relationship

PepGenex is a research product supplier and does not provide healthcare through the research storefront.

Purchasing a Product does not establish a physician-patient, healthcare-provider, pharmacist-patient, or other clinical relationship with PepGenex.

PepGenex does not diagnose medical conditions, prescribe medications, recommend treatments, determine dosages, or make clinical decisions through its research storefront.

Customer service personnel cannot provide guidance concerning personal use, administration, dosing, treatment, or other human or veterinary applications.

8. Orders and Payment

By submitting an order, you represent that:

• All information provided is complete and accurate;
• You are authorized to use the payment method provided; and
• PepGenex and its payment service providers are authorized to charge the amount shown at checkout.

Payment is processed before shipment unless PepGenex expressly approves other payment arrangements.

All orders are subject to acceptance by PepGenex.

PepGenex reserves the right to refuse, limit, hold, or cancel an order where we reasonably believe:

• A Product may be intended for a prohibited purpose;
• A purchaser has provided false, incomplete, or misleading information;
• The transaction may involve fraud, payment abuse, resale violations, or unlawful activity;
• The purchaser has violated these Terms; or
• Fulfilling the transaction may violate applicable law, regulation, payment-provider requirements, carrier requirements, or PepGenex policies.

Prices, availability, quantities, and specifications may change without notice.

An order confirmation confirms receipt of an order and does not constitute final acceptance.

If PepGenex cancels an order after payment but before shipment, the applicable purchase amount will generally be refunded to the original payment method.

9. ACH / Electronic Check Authorization

If you select ACH or eCheck as your payment method, you authorize PepGenex to initiate a one-time electronic debit from the bank account you provide, in the amount of your order total (including applicable shipping and taxes). This authorization applies only to the transaction you submit and does not create a recurring or standing authorization unless you separately enroll in a subscription or recurring order, in which case a separate recurring-payment authorization will apply.

You may revoke this authorization by contacting us at info@pepgenex.com before the transaction is processed.

Returned or failed ACH transactions may incur a fee as disclosed at checkout.

You represent that you are an authorized signer on the bank account provided.

10. Shipping

PepGenex currently ships research Products only to locations within the United States and Canada where such shipment is permitted.

Shipping and delivery dates are estimates and are not guarantees.

Once an order has been transferred to a carrier, transit schedules, tracking updates, delays, and other transportation matters may be outside PepGenex's direct control.

PepGenex will make reasonable efforts to assist with legitimate carrier claims.

The purchaser is responsible for providing a complete and accurate shipping address and for promptly retrieving and appropriately storing delivered Products.

11. Returns, Refunds, and Product Issues

Due to the nature of research materials, opened or used Products generally cannot be returned.

PepGenex may provide a refund, replacement, or other resolution when:

• An incorrect Product was shipped;
• A Product arrived materially damaged;
• An order was not delivered;
• A Product materially fails to conform to its stated specifications; or
• PepGenex otherwise determines a refund or replacement is appropriate.

Shipping damage or incorrect Products should be reported promptly. PepGenex may require photographs, packaging information, lot numbers, COAs, or other reasonable documentation before issuing a replacement or refund.

Products that have been opened, used, improperly stored, mishandled, altered, or maintained outside specified storage conditions may not qualify for return, replacement, or refund.

Orders generally cannot be canceled after shipment.

Approved refunds will generally be returned to the original payment method.

Nothing in this section limits any rights that cannot legally be waived.

12. Prohibited Uses

You may not:

• Use Products for human or animal consumption or administration;
• Inject, ingest, inhale, apply, or otherwise introduce Products into a human or animal body;
• Use Products for diagnostic, therapeutic, preventative, cosmetic, or clinical purposes;
• Represent Products as approved drugs, medications, supplements, cosmetics, or therapeutic products;
• Use Products as substitutes or alternatives for FDA-approved drugs;
• Provide false or misleading information regarding your identity, organization, qualifications, or intended use;
• Purchase Products for another person when you know or reasonably should know that the Products will be used contrary to these Terms;
• Resell or distribute Products for prohibited human or animal applications;
• Alter, remove, obscure, or misrepresent Product labeling or research-use restrictions;
• Use Products or the PepGenex website in violation of applicable law.

Violation of this section may result in cancellation of orders and immediate suspension or termination of purchasing privileges.

13. No Warranty of Research Results

Research outcomes inherently vary.

PepGenex does not guarantee that a Product will produce any particular experimental, analytical, scientific, commercial, or other result.

COAs and testing information apply to the applicable tested samples and lots and do not constitute warranties regarding uses outside stated research specifications.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND RESEARCH-STOREFRONT CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

PEPGENEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

PEPGENEX MAKES NO WARRANTY OR REPRESENTATION THAT ANY PRODUCT IS SAFE, EFFECTIVE, APPROVED, OR APPROPRIATE FOR HUMAN OR ANIMAL USE.

15. Assumption of Risk

You acknowledge that research chemicals, peptides, compounds, and biological materials may possess properties, hazards, or risks that have not been fully characterized.

By purchasing a Product, you knowingly assume the risks associated with its lawful possession, handling, storage, transportation, experimentation, and disposal.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPGENEX AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, PRODUCTS, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPGENEX'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PRODUCT OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO PEPGENEX FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

17. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless PepGenex and its owners, officers, directors, employees, agents, affiliates, suppliers, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from or relating to:

• Your possession, handling, storage, transportation, experimentation, disposal, resale, or use of Products;
• Use of a Product contrary to its labeling or these Terms;
• Human or animal use of a Product by you or a person to whom you supplied or transferred the Product;
• Your violation of applicable law; or
• Your violation of these Terms.

18. Intellectual Property

The PepGenex name, trademarks, logos, website content, graphics, photographs, research materials, and other intellectual property are owned by or licensed to PepGenex.

Except as permitted by applicable law or expressly authorized in writing by PepGenex, you may not reproduce, distribute, modify, publish, commercially exploit, or create derivative works from PepGenex intellectual property.

19. Accounts and Website Use

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You may not interfere with the operation or security of the website, attempt unauthorized access, introduce malicious software, impersonate another person, engage in fraudulent activity, or use the website for unlawful purposes.

PepGenex may suspend or terminate accounts or purchasing privileges for violations of these Terms.

20. Marketing Communications

You may voluntarily opt in to receive promotional emails or SMS messages from PepGenex.

Consent to marketing communications is not a condition of purchase.

You may unsubscribe from promotional emails using the unsubscribe mechanism contained in the communication.

For SMS communications, you may text STOP to opt out and HELP for assistance. Message and data rates may apply. Message frequency may vary.

Transactional communications relating to an existing order or account may still be sent where appropriate.

21. Binding Arbitration and Class Action Waiver

Except where prohibited by applicable law, any dispute, claim, or controversy arising from or relating to these Terms, the PepGenex research storefront, a transaction with PepGenex, or Products purchased from PepGenex shall be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable rules.

Arbitration shall take place in Los Angeles County, California, unless the parties agree otherwise or applicable law requires another location or procedure.

YOU AND PEPGENEX AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Each party waives the right to a jury trial for claims subject to arbitration.

Either party may seek temporary or injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property, confidential information, or prevent imminent harm.

22. Termination

PepGenex may suspend or terminate access to the research storefront, an account, or purchasing privileges if a purchaser violates these Terms, applicable law, or PepGenex policies.

Sections that by their nature should survive termination, including research-use restrictions, assumption of risk, limitation of liability, indemnification, intellectual property, and dispute-resolution provisions, shall survive termination.

23. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies or applicable law requires otherwise.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it enforceable.

The remaining provisions shall remain in full force and effect.

25. Changes to These Terms

PepGenex may modify these Terms from time to time.

The Effective Date at the beginning of these Terms identifies the current version.

Revised Terms apply prospectively to transactions occurring after the revised Terms become effective, except as otherwise permitted by applicable law.

26. Entire Agreement

These Terms, together with any policies expressly incorporated by reference, constitute the agreement between you and PepGenex concerning purchases through the PepGenex research storefront.
